What are debt capital markets?
Debt capital market (DCM) refers to markets for buying and selling debt securities. The primary function of DCMs is to provide businesses and governments with a source of long-term funding to meet their growth and cash-flow needs. The chief difference between debt and equity capital is that while equity holders have an ownership stake in the business entity, while buyers of debt, such as bonds, are lenders who earn interest on their investment.
Debt capital markets are divided into primary and secondary markets. In primary markets, borrowers raise money directly from investors through bond issuance. In the secondary markets, investment funds, managers and others trade already-existing debt issuance with each other.
What are debt securities?
A debt security specifies the terms of a loan between a borrower (or issuer) and a lender (or investor.) Debt securities are considered negotiable financial instruments that may be traded between parties.
The terms of debt security typically include the issue date and issue price the investor pays on issuance; the fixed or variable coupon (or interest) rate to be paid by the issuer; the maturity date by which the issuer must repay the principal and interest; and the yield-to-maturity which calculates the investors expected annual rate of return.
The four main types of debt securities are bonds, commercial paper, promissory notes and convertible debt.
